Can a foreigner become a partner or board member of a limited liability company?
A foreigner does not need to have the right to reside in Poland to become a partner or member of the management board of a limited liability company. However, if he plans to stay in the country longer, he should take care to legalize his stay. Merely holding shares or serving on the board of directors does not entitle a foreigner to legal residence in Poland.
If a foreigner wants to establish a limited liability company online – through the S24 system – he or she must have a trusted profile or a qualified electronic signature that has been issued in Poland.
In the absence of one of these tools, you should:
Use the traditional paper form of company registration before a notary public, or
Consider buying an already registered company, which can significantly speed up the start of operations.
